• “API Key” refers to the unique authentication code issued to you for accessing Peshey’s API Platform.
• “API Platform” denotes Peshey’s application programming interface platform accessible on the website.
• “Control” pertains to the power of a person to ensure that the affairs of an entity are conducted according to their wishes.
• “Force Majeure Event” encompasses any occurrence beyond a party’s reasonable control that negatively affects performance or renders it impracticable.
• “Personal Data” signifies any information relating to an identified or identifiable natural person.
• “Regulator” denotes the relevant regulatory authority governing telecommunications or payments in Peshey’s operating jurisdiction.
• “Service Order Form” refers to the form executed by you and Peshey, describing the specific service requested and its pricing.
• “Site” represents Peshey’s website.

3. Overview

3.1 Peshey Air Ticketing offers mobile telecommunication solutions through its API Platforms. These Terms govern the obligations of both parties regarding the services provided or used. Peshey may update these Terms, with revisions becoming effective upon notification to users. Continued use of the services constitutes acceptance of revised Terms.

3.2 These Terms include additional terms, policies, and agreements such as the Code of Conduct, Service Level Agreement, and Privacy Policy.

4. Access and Security

4.1 To access Peshey’s services, users must create a User Account on the API Platform. Access requires a unique username, password, and API Key.

4.2 Peshey collaborates with users on platform integration for this Agreement’s purpose.

4.3 Users must access the User Account over a secure connection and are responsible for its contents, API Key, and network security.

4.4 Users may be required to complete a Service Order Form and comply with Know Your Customer (KYC) documentation.

5. Fees and Payment

5.1 Users shall pay Peshey the fees set out on the Site in advance, with additional penalties for Code of Conduct violations.

5.2 Invoices shall be sent to the provided email address and deemed received upon sending.

6. Code of Conduct

6.1 Users must comply with the Code of Conduct, including any amendments notified by Peshey.

6.2 Peshey reserves the right to terminate this Agreement for Code of Conduct violations.

7. Confidentiality

7.1 Each party must treat Confidential Information with strict confidentiality and take reasonable measures to protect it.

7.2 Personal Data handling shall comply with applicable data protection laws.

8. Intellectual Property

8.1 Each party retains its Intellectual Property rights, with Peshey granting users a limited license to use its Intellectual Property for service purposes.

8.2 Users assigning feedback to Peshey agree to grant Peshey all rights to the feedback.

9. Term and Termination

9.1 This Agreement commences upon acceptance and continues until terminated.

9.2 Termination may occur for breach, insolvency, or convenience with notice.

9.3 Termination consequences include service deactivation and payment settlement.

10. Indemnification

10.1 Each party indemnifies the other for losses arising from breaches or violations of this Agreement.

11. Limitation of Liability

11.1 Except for fraud, neither party is liable for consequential or indirect damages.

12. Notices

12.1 Notices shall be sent to the provided email address and deemed effective upon sending.

13. Variation

13.1 Amendments to this Agreement require written consent from both parties.

14. Waiver

14.1 Waivers must be in writing and specific to be effective.

15. Severability

15.1 Invalid provisions shall be replaced to maintain the Agreement’s intent.

16. Entire Agreement

16.1 These Terms constitute the entire agreement between the parties, superseding prior agreements or understandings.

17. Assignment

17.1 Assignment of rights and obligations requires prior written consent.

18. Force Majeure Event

18.1 Parties are excused from performance during Force Majeure Events.

19. Governing Law and Dispute Resolution

19.1 These Terms are governed by English law, with disputes subject to amicable resolution and arbitration.

20. Miscellaneous

20.1 Survival of Terms, Nature of Relationship, Third-party Beneficiaries, Entire Understanding, Execution in Counterparts, Amendment and Modification, Further Assurances, Force Majeure, and Language of Agreement provisions apply.
